NON COMPETITION竞业禁止条款

1.For the purposes of protecting the Company in relation tothe goodwill associated with the Businessandin consideration forthe benefits to be derived by the Shareholders under this Agreement, the Shareholders and each of them severally covenant with each other and the Company that they shall not, whether directly or indirectly, otherwise than under a unanimous resolution of the Boardfor the time beingin relation to any particular activity:

procure or induce or endeavour to procure or induce (either solely or jointly with anyother person, firm or company) employee of the Business toleave such employment.

2.Such restriction shall continue to apply for two (2) years after a shareholderceases tobe a shareholder in the Companyfor the avoidance of doubt.

3.  For the purposes of this Clause 20Shareholders shall include holding companies and subsidiaries of the Shareholders.
